MERCER COMMUNITY BAND
Constitution and Bylaws


I. NAME AND PURPOSE

A. The organization shall be known as the Mercer Community Band.

B. Its purpose shall be:

a. to contribute in a positive manner to the
musical environment of the area it serves,
whether local, state, national or international.

b. to provide an opportunity for individual musical expression
and growth among membership.

c. to provide an opportunity for individuals of all
abilities of musicianship to perform

d. to reaffirm the community concert band position
in American music.

II. MEMBERSHIP

A. Qualifications for membership

a. applicant qualifies to the satisfaction of the
directors

b. a vacancy exists

c. a commitment can be made to attend all rehearsals and concerts

d. members take part in all band activities

e. there will be no membership dues


III. BOARD OF DIRECTORS/BAND STAFF

A. Executive Authority

a. management of the general affairs of the band, taking all action which is compatible with the best interests of the band.

b. management of the financial affairs of the band and establishment of an annual budget

c. establishment of a schedule of rehearsals and concerts

B. Titles

The Board of Directors/ Band Staff shall consist of:

a. Chairman/Director
b. Assistant Chairman/Assistant Director
c. Student Assistant Director
d. Secretary/Historian
e. Treasurer
f. Librarian

Committees include:

a. Hospitality
b. Registration
c. Equipment
d. Transportation
e. Registration/Souvenirs
f. Sound System
g. Web-Site


IV. MEETINGS

A. Meetings of the board of directors/band staff-committees may be called at the discretion of the chairman of the board or at the request of any band member.


Bylaws

A. MEMBERSHIP

1. Attendance

a. Attendance shall be taken at every rehearsal and concert.

b. Members will be dropped from the roster for excessive absences.

c. Members are expected to play at all scheduled concerts.

d. The assistant director must be no later than a week before a scheduled concert if a musician will be unable to perform.

e. Band members are expected to attend the rehearsal prior to the concert unless excused by the assistant director

2. Rehearsals

a. Rehearsals shall be on the Thursday evening prior to the Friday night concert.  The rehearsal will be held in the Mercer High School auditorium from 6:30 p.m.  9:00 p.m.

3. Concert Attire

a. Musicians will wear white polo shirt with Mercer Community Band
logo or white blouse or shirt

b. Musicians will wear dark pants, slacks, skirt
(preferably black)

c. Musicians are not permitted to wear shorts

d. Foot apparel  preferred  - black shoes, socks

e. Concert dress will be adhered to by the full band

4. Board of Directors/Band Staff

a. Chairman/Director
The Director shall oversee the entire staff and committees.  The Director will choose the literature and set up the concert schedule.

b. Assistant Chairman/Director
The Assistant Chairman/Director will serve as the
personnel manager and assist the director in assigned duties.

c. Student Assistant Director
The student assistant director is a year-long position.  The student director is chosen by the director and assistant director and must be completing his/her sophomore year in college as either a music or music education major.

d. Secretary/Historian
The Secretary/Historian will keep records of all meetings and take roll at all rehearsals and concerts.  He/she will also be responsible for all news releases.  The secretary/historian will be responsible for maintaing a running history of the community band.

e. Treasurer
The treasurer will collect and disburse all monies and prepared appropriate financial statements.

f. Librarian
The librarian will distribute all music folders at all rehearsals and concerts.  The librarian will appoint two musicians to assist in the dissemination and collection of music.

5. Concerts

a. Concerts will take place on Friday evenings from 7:30 p.m.  9:00 p.m. in the months of June, July and August.

b. There will be four concert band concerts and one jazz band concert.

c. The concert series will also have three open dates that will include performances by outside groups as determined by the director.

6. Awards

a. All musicians upon completion of the concert
will receive a special certificate.

b. Two outstanding musician awards will be awarded at the last concert band concert.  Recipients will be selected by the Director/Assistant Director.

c. Two outstanding "rookie' first year awards will
be awarded at the last concert band concert.
Rookies will be selected by the Director/Assistant Director.

d. One "outstanding service award" will be presented to an individual or business for continuous support of the Mercer Community Band.  The recipient will be chosen by the Director/assistant Director.

e. A one time only scholarship in honor of Sam Shilling will be presented to any recent high school graduate who is a member of the community band and is planning to pursue a career in music/music education.  The amount and number of scholarships will be determined by the band's financial status at the end of the concert season.

Amendments
Adopted  July 7, 1986

I. The Mercer Community Band is organized exclusively for charitable and education purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501( c ) ( 3 ) of the Internal Revenue Code (or the corresponding provisions of any future United States Internal Revenue Law).

II. No part of the new earnings of the Mercer community band shall inure to the benefits of, or be distributed to its members, trustees, directors, officers or other private persons, except that the mercer Community band shall be authorized and empowered to pay a reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501 ( c ) (3) purposes.
No substantial part of the activities of the Mercer
Community Band shall be the carrying on of propaganda, or
otherwise attempting to influence legislation.  The Mercer Community Band shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Notwithstanding any other provision of the articles, the Mercer Community band shall not carry any other activities not permitted to be carries on (a) by a corporation/organization exempt from federal income tax under 501 (c) (3) of the Internal Revenue Code (or the corresponding provisions of any future United States Internal Revenue Law.) or (b) by a corporation/organization contributions to which are deductible under section 170 (c) (2) of the internal Revenue Code (or the corresponding provisions of any future United States Internal Revenue Law).

III. Under dissolution of the Mercer Community band, the Board of Directors/ Trustees shall, after paying or making provision for the payment of all the liabilities of the Mercer community Band, dispose of all the assets of the organization exclusively for the purposes of the Mercer community Band in such manner, or to such organization(s) organized and operated exclusively for charitable and educational purposes as at the time shall qualify as an exempt organization under section 501 ( c ) (3) of the Internal Revenue Code (or under the corresponding provisions of any United States Internal Revenue Law), as the Board of Directors/trustees shall determine.  Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the County in which the principal office of the Mercer Community Band is then located, exclusively for such purposes or to such organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
